Commission through the application. By accepting, the Seller agrees to the disclosed

Commission for that Listing.

d) Product -specific and dynamic Commission. The Seller acknowledges and agrees that the

Commission is determined on a per -Product basis and may vary from Product to Product.

The Commission applicable to the same or a similar Product may change over time based

on factors including demand and supply, category, price, seasonality, promotional

considerations, and other commercial factors. Any revised Commission will apply only

constitute a binding offer by Restylee.

i) Listing term and automatic expiry. Unless removed, sold, suspended or withdrawn

earlier, each Listing shall remain live for forty -five (45) days from the date it is first

published or renewed and shall automatically expire at the end of that period, after which

Service Fee or Policy applicable to the renewed Listing.

k) Price update and optional boost. Before renewal, the Seller may update the Product price

and may optionally purchase or apply any listing -boost feature made available by

determined and disclosed on a per -Product basis and accepted by the Seller in the manner

described in Clause 6(c) and 6(d). The Commission is inclusive of all applicable taxes,

complied with, and the Seller authorises Restylee to make any deductions required by law

from the Seller’s payout.

d) Shipping charges (weight -based). Shipping and delivery charges are calculated on the

basis of factors including the weight (and, where applicable, dimensions) of the Product,

the pickup and delivery locations, and the applicable Logistics Partner rates. Because such

charges depend on the weight of the Product, they may vary from Product to Product and

from Order to Order. As a general policy, Orders for Products weighing up to 500 grams

are ordinarily eligible for free shipping . However, Restylee reserves the right to apply

shipping charges for such Orders where required due to location, Logistics Partner pricing,

special handling requirements, or other operational considerations. All charges payable by

the Buyer will be clearly displayed before p ayment is completed at checkout.

Platform, subject to any applicable verification, minimum thresholds, and processing

timeline s.

c) The Restylee Wallet is non -transferable, non -interest bearing, and may be used only in the

manner permitted by Restylee. The Wallet is not a bank account, deposit, or a payment

instrument issued for use outside the Platform, and does not constitute a claim on Restylee

other than for the amounts validly credited to it.

d) Restylee reserves the right to withhold, reverse, adjust, freeze, or restrict Wallet balances

in the event of fraud, chargebacks, violation of these Terms or any Policy , payment

disputes, erroneous credits, legal or regulatory requirements, or any other legitimate

reason, subject to Applicable Law.

e) Without prejudice to any other rights or remedies available under these Terms or

Applicable Law, Restylee may set off, deduct, or recover any amount payable by a User to

Restylee against any amount owed or payable by Restylee to such User, including any

Wallet balance, Seller payout, refund, credit, incentive, or other amount.

f) Restylee reserves the right to modify, suspend, or discontinue the Restylee Wallet feature

at any time, subject to Applicable Law and any balances validly held by Users.

9. ORDER PLACEMENT, ACCEPTANCE & CONFIRMATION

a) Placing an Order constitutes an offer by the Buyer to purchase the selected Product(s).

Submission of an Order does not by itself constitute acceptance by Restylee or the Seller.

b) All Orders are subject to successful payment, Seller confirmation, successful pickup,

completion of the on -the-spot Quality Check, and final acceptance by Restylee.

c) Upon successful placement of an Order, the Buyer will receive an order confirmation via

email and/or SMS. This confirmation acknowledges receipt of the Order only and does

not guarantee dispatch or delivery.

d) An Order shall be deemed accepted only after the Seller successfully hands over the

Product, the Product passes the on -the-spot Quality Check, and the Product is dispatched

to the Buyer.

e) Restylee reserves the right to reject or cancel any Order, in whole or in part, before

dispatch, including in cases of unsuccessful Quality Checks, Seller unavailability, payment

failure, suspected fraud, pricing errors, and Terms or policy violations, or any other

circumstance preventing successful fulfilment. Where applicable, the Buyer will be

refunded in accordance with Clause 12.

10. Quality Check

a) Where a Quality Check is performed by a Logistics Partner, it shall be limited to the

objective criteria communicated by Restylee for pickup, dispatch or an approved return,

including visible condition, cleanliness, completeness and material conformity wit h the

Listing or return requirements.

b) A Quality Check is a limited visual inspection only and does not constitute authentication,

certification, brand verification, appraisal or any warranty of genuineness, quality or

fitness. The Logistics Partner shall not open, unseal or dismantle a package or Product

unless expressly authorised by Restylee under the agreed Quality Check process.

c) A Product may be rejected only where it fails the applicable Quality Check criteria or

appears counterfeit, prohibited, materially damaged, unclean, incomplete or otherwise

non-compliant. A Logistics Partner shall not reject a Product on criteria outside t hose

communicated by Restylee, and Restylee may review or override an operational rejection.

d) The Logistics Partner shall exercise reasonable care while handling, inspecting,

photographing, repacking or transferring a Product and, as between Restylee and the

Logistics Partner, shall remain responsible for loss or damage caused by negligent

handling , unauthorised opening or failure to follow the agreed Quality Check process.

e) Where requested by Restylee, the Logistics Partner shall record time -stamped photographs

or other evidence and the stated reason for acceptance or rejection. The Quality Check

outcome is determinative for immediate operational purposes, subject to Restylee ’s

review, the claims process and Applicable Law.

11. Shipping & Delivery

a) Scope of facilitated logistics. Restylee may arrange, through one or more independent

Logistics Partners, pickup from the Seller’s notified address, delivery to the Buyer, reverse

pickup for approved returns, return of the Product to the Seller, cash -on-delivery collection

where expressl y enabled, and shipment tracking and status updates through the Platform

or integrated APIs. Availability of a particular service may depend on location, Product,

Order value and operational feasibility.

b) Service timelines and failed attempts. Pickup, delivery, reverse -pickup and return

timelines shall be the timelines displayed on the Platform or separately notified for the

relevant Order and are estimates unless expressly identified as a committed service level.

Unless otherwise displayed, up to two (2) pickup attempts and three (3) delivery attempts

are included. Courier personnel shall wait for a reasonable handover period, ordinarily

not less than ten (10) minutes where safe and practicable. A reattempt fee may be charged

only where the fail ed attempt is attributable to the Seller or Buyer; no reattempt fee shall

apply for a failure attributable solely to the Logistics Partner. Restylee may suspend or

replace a Logistics Partner for repeated service -level failures.

shipment, record the date and time, and obtain an OTP, electronic acknowledgement or

Seller signature, and shall capture a pickup photograph where required by Restylee.

Custody shall commence when the Product is physically accepted and scanned, or when

other reliable contemporaneous evidence establishes handover, and shall continue until

valid delivery to the Buyer or return to the Seller. Material transfers between personnel,

vehicles and hubs shall be digita lly logged. A failure by the Logistics Partner to create the

prescribed pickup record shall not, by itself, shift the risk of a Product already taken into

its possession to the Seller.

d) Delivery verification and Buyer information. Buyers must provide complete and accurate

delivery details and remain available during delivery attempts. The Logistics Partner shall

deliver only to the stated address and intended recipient or an authorised recipient, using

OTP, signature, photograph or other proof where required; high -value Orders may be

made subject to mandatory OTP verification. Restylee and the Logistics Partner shall not

be responsible for a failure caused by inaccurate information supplied by the Buyer, but

delivery to the wrong per son or address due to courier error shall be treated as a courier

delivery failure.

e) Packaging responsibility. Unless Restylee or the Logistics Partner expressly supplies or

undertakes the packaging, the Seller is responsible for secure and suitable packaging. The

Logistics Partner shall record any visible packaging deficiency before accepting the

shipment; accepta nce without such reservation may be treated as evidence that no visible

deficiency was identified. The Seller remains responsible for loss or damage proved to have

been caused solely by latent or materially inadequate packaging, while the Logistics

Partner remains responsible to the extent its handling, tampering, unauthorised opening

or negligence caused or contributed to the loss.

f) Custody liability, Declared Value and insurance. During the custody period, the Logistics

Partner shall be responsible to Restylee under the applicable logistics arrangement for loss,

theft, tampering, physical damage, parcel substitution, wrong delivery, false or forged

delivery confirmation, and miscon duct of its personnel or subcontractors. For an eligible

direct -loss claim, compensation shall be sought up to the lower of the Declared Value, the

expressly agreed insured value, and the actual documented direct loss, and shall not be

reduced merely by a courier’s standard default cap where the applicable logistics

arrangement provides otherwise. A shipment is insured only where insurance or

shipment -risk cover is expressly indicated; no insurance or recovery is guaranteed beyond

the applicable cover and v alidated claim amount. Any limitation or exclusion of the

Logistics Partner’s liability under the applicable logistics arrangement shall not apply to

fraud, wilful misconduct, gross negligence, theft by its personnel, a material data breach,

or liability t hat cannot lawfully be limited. The applicable logistics arrangement may

require the Logistics Partner to indemnify Restylee for direct losses, third -party claims,

regulatory consequences and reasonable costs arising from its negligence, wrong delivery,

personnel misconduct, theft, material data breach or attributable legal violation.

g) Claims process. A User shall notify Restylee of visible damage, tampering, wrong delivery

or an incorrect package within twenty -four (24) hours of delivery, with a complete and

unedited unboxing video and other available evidence, and shall notify Restylee of loss,

non-delivery or loss during return transit within seven (7) days after the expected delivery

or return date, or after Restylee notifies the User that the shipment is lost, whichever is

later. Restylee may require the Order ID, Listing and declared -value record, invoice or

proof of value, pickup evidence, photographs or video, packaging evidence,

correspondence and any other reasonably necessary document. Restylee shall ordinarily

submit a complete eligible claim for courier investigation, seek an investigation ou tcome

within fifteen (15) days and seek settlement within thirty (30) days after complete

documents are provided, subject to the applicable logistics arrangement, insurer

requirements and Applicable Law.

h) Recovery and User compensation. Restylee may, after validation, pass through to the

affected Buyer or Seller any amount recovered from the Logistics Partner or insurer, or

may issue a provisional credit at its discretion. Unless required by Applicable Law,

Restylee is not obliged to pay a courier or insurance claim before the claim is validated or

before recovery is received. Any payment shall be subject to the applicable li ability limit,

absence of double recovery, and deduction of amounts already refunded, credited or

otherwise recovered.

i) Tracking, API and audit records. Restylee may require Logistics Partners to provide real -

time or near -real-time scans, prompt exception and failed -attempt updates, and

commercially reasonable API availability. Tracking information is operational data

supplied by third parties, may occasio nally be delayed or corrected, and is not by itself

conclusive where stronger pickup, GPS, photograph or delivery evidence exists. Restylee

may request shipment records, pickup evidence, proof of delivery and service -level reports

and may audit performance relating to Orders facilitated through the Platform.

j) Data protection, confidentiality and non -solicitation. Logistics Partners may use Buyer

and Seller names, contact details, addresses and shipment data only to perform the

relevant logistics service, comply with law, prevent fraud or resolve a shipment dispute;

they shall not use such data for independent marke ting, solicit Users for business outside

the assigned delivery, or promote a competing marketplace service. Logistics Partners

shall protect such data and Restylee’s rates, processes, APIs and operational information

as confidential, maintain appropriate s ecurity, and comply with Applicable Laws,

including the Digital Personal Data Protection Act, 2023 and the Digital Personal Data

Protection Rules, 2025, to the extent applicable and in force.

k) Fraud cooperation, reporting and continuity. On reasonable request, a Logistics Partner

may be required to cooperate with a fraud or claims investigation and provide available

scan trails, GPS logs, pickup and delivery evidence, CCTV footage, and relevant personnel

or subcontractor details, subject t o law. It shall promptly report suspected prohibited or

restricted goods, parcel swaps, empty -box attempts, refusal to hand over a parcel after

pickup confirmation, forged acknowledgements, repeated delivery fraud or other

suspicious conduct. Restylee may suspend, replace or terminate a Logistics Partner for

fraud, material breach, repeated service -level failures or material security or regulatory

violations, and may require in -transit shipments to be completed or securely transferred

without interruption. Ordinary staffing shortages, vehicle breakdowns, internal system

outages, insolvency or avoidable operational disruption shall be addressed through

business -continuity measures and shall not automatically excuse custody obligations.

all original tags, packaging, accessories, and any complimentary items; and

iv. the Product must not have been worn, washed, altered, damaged, or used beyond what is

reasonably necessary for inspection.

Non -Eligible Returns. Returns will not be accepted for: (i) change of mind or buyer’s remorse; (ii)

incorrect size, fit, colour, or style where the Listing accurately described the Product; (iii) minor

defects or normal signs of wear that were clearly disclosed in the Listing; (iv) requests submitted

after the prescribed return window; or (v) claims unsupported by the required evidence.

a) Return Pickup & Quality Check. If a return request is approved, Restylee will arrange

reverse pickup within the timeline displayed or notified for the return. The Buyer must

securely package and hand over the same Product in the condition received, with all tags,

accessories and include d items. The Logistics Partner shall create pickup evidence and

maintain chain of custody in accordance with Clause 11. A limited on -the-spot Quality

Check may be conducted only against the approved return criteria. Restylee may reject a

return that fails those criteria or shows substitution, additional damage or missing items

attributable to the Buyer.

b) Refund Process. Once the returned Product passes the applicable Quality Check and is

delivered back to the Seller, the eligible refund shall be credited to the Buyer’s Restylee

Wallet, generally within 3 –5 Business Days after completion of the approved return

process. If an approved return is lost or materially damaged after valid reverse pickup

while in the Logistics Partner’s custody, the Buyer’s eligible refund shall not be withheld

solely because the Product did not reach the Seller, once the loss is validated; Restylee may

separately pursue the Logistics Partner or insurer. Where the return loss deprives the Seller

of the Product after the Buyer is refunded, any Seller compensation shall be determined

under Clause 11 and by reference to the validated recoverable amount . Refunds may

exclude applicable return shipping charges or other non -refundable charges where

permitted. Wallet withdrawals remain subject to Clause 8.

c) Replacements. Restylee does not currently offer product replacements. Where a return is

approved, the Buyer will receive a refund in accordance with this Clause.

d) Order Cancellation. Buyers cannot cancel an Order once it has been successfully placed.

Restylee may , in its sole and absolute discretion, cancel an Order before dispatch in cases

including unsuccessful Quality Checks, Seller unavailability, payment failure, pricing

errors, suspected fraud, terms or policy violations, or any other circumstance preventing

successful fulfilment. Where Restylee cancels an Order before dispatch, any amount paid

by the Buyer shall be refunded in accordance with this Clause.

13. Seller Obligations

a) Sellers shall ensure that every Product listed is legally owned by them and that they have

full right and authority to sell it.

b) Sellers are solely responsible for ensuring that all Listing information , including

photographs, descriptions, brand, size, condition, and pricing , is accurate and not

misleading.

c) Sellers must hand over the sold Product within the pickup timeline specified by Restylee.

Failure to do so may result in cancellation of the Order and any applicable action under

these Terms and Conditions .

d) Sellers shall ensure that the Product handed over for pickup is the same Product as

described in the Listing and is clean, complete, and in the stated condition.

e) Sellers must not list counterfeit, replica, stolen, prohibited, illegal, hazardous, or otherwise

unauthorised Products, and must comply with the terms under Prohibited & Restricted

Items.

f) Sellers shall comply with all Applicable Laws, including applicable tax and consumer

protection laws, these Terms and Conditions, and all Policies published by Restylee from

time to time.

g) Sellers are responsible for their own tax obligations arising from sales made through the

Platform, including any applicable GST and income tax obligations, and shall provide

accurate tax -related information where required.

h) Restylee may require a Seller to provide invoices, proof of ownership, authenticity

documents, tax registrations, identity documents, or any other information reasonably

required to verify compliance with these Terms or Applicable Law. Failure to provide such

information may result in the rejection or removal of Listings, withholding of payouts,

suspension of selling privileges, or termination of the Seller's account.

i) Repeated Quality Check failures, order cancellations, fraudulent activity, or policy

violations may result in Listing removal, account suspension, withholding of payouts, or

permanent termination of the Seller’s account.

14. SELLER -FAULT CANCELLATIONS, FULFILMENT OBLIGATIONS & CANCELLATION

Penalties

a) Fulfilment and pickup -readiness obligation. Each Seller shall ensure that every Product

listed by it is genuinely available and ready for pickup within 24 (twenty -four) hours of a

confirmed Order, or within such other timeline as Restylee may , in its sole and absolute

discretion, notify from time to time. Failure to fulfil a confirmed Order in accordance with

these Terms may result in cancellation of the Order, imposition of Cancellation Penalties,

reduced Listing visibility, temporary suspension of selling privileges, or permanen t

removal of the Seller from the Platform, in each case in the manner set out in this Clause

and without prejudice to Restylee’s other rights and remedies.

b) Continuing representations and warranties on listing. By listing any Product on the

Platform , and on each occasion on which and for so long as such Listing remains active,

the Seller represents, warrants, and undertakes to Restylee that:

i.the Product is genuinely and currently available for sale;

ii.the Product is in the Seller’s lawful possession and under the Seller’s control;

iii. the Product is ready for pickup and/or shipping immediately upon confirmation of an

Order;

iv.the Product is not, and shall not be, simultaneously committed, promised, offered, or

sold to any other buyer or on any other platform, channel, or marketplace; and

v.the Seller shall not list, offer, or sell the same Product on any other platform, channel,

or marketplace after it has been listed on Restylee, for so long as the Listing remains

active on the Platform.

Each of the foregoing is a continuing representation and warranty, and its breach shall constitute

a Seller -Fault Cancellation and/or a material breach of these Terms.

c) Circumstances constituting a Seller -Fault Cancellation. A Seller -Fault Cancellation

includes, but is not limited to, the following:

i. failure to schedule or make available a pickup within 24 (twenty -four) hours of Order

confirmation;

ii. the Product being already sold, committed, or otherwise unavailable;

iii. refusal or failure to hand over the Product after a confirmed Order;

iv. repeated failure to respond to pickup requests or Platform communications;

v. cancelling a confirmed Order without a valid and verifiable reason acceptable to

Restylee;

vi. intentionally or recklessly listing Products that are unavailable, misdescribed, or not in

the Seller’s possession; and

vii. any other act or omission attributable to the Seller’s negligence that prevents or

frustrates the fulfilment of a confirmed Order.

d) Counting of cancellations. Each confirmed Order that is cancelled or not fulfilled due to

Seller fault shall be counted as one (1) Seller -Fault Cancellation. Seller -Fault Cancellations

are assessed on a rolling basis by reference to the number of such cancellations attributable

to the Seller within the immediately preceding 90 (ninety) days.

e) Graduated consequences. Without prejudice to any other right or remedy available to

Restylee under these Terms or Applicable Law, Seller -Fault Cancellations occurring within

any trailing 90 (ninety) day period shall attract the following graduated consequences:

*The Applicable Monetary Penalty is calculated in accordance with the Product Selling Price slabs

set out in sub -clause (f) below.

f) Applicable Monetary Penalty (based on Product Selling Price). Where a monetary

penalty is applicable under sub -clause (e) above, the Cancellation Penalty shall be

determined by reference to the selling price of the Product in respect of which the Seller -

Fault Cancellation occurred, in accordance with the following sl abs:

Product Selling Price Penalty

₹399 – ₹999 ₹49

₹1000 – ₹1,999 ₹69

₹2,000 – ₹3,199 ₹99

₹3,200 – ₹4,999 ₹149

Above ₹4,999 3% of the Product Selling Price

For the avoidance of doubt, no fixed monetary Cancellation Penalty under this slab table shall

apply to Products with a selling price below ₹399, without prejudice to the other consequences set

out in this Clause.

g) Nature of the Cancellation Penalty. The Seller acknowledges and agrees that a Seller -Fault

Cancellation causes Restylee and the affected Buyer administrative, operational, logistical,

and reputational loss that is inherently difficult to quantify with precision, and that the

Cancellation Pen alties stipulated above represent a genuine, fair, and reasonable pre -

estimate of such loss, agreed between the parties, and do not operate as a penalty in the

punitive sense. The imposition or recovery of a Cancellation Penalty is without prejudice

to, an d in addition to, Restylee’s other rights and remedies under these Terms and

Applicable Law, including suspension, termination, and indemnity.

h) Recovery of penalties; authorisation to deduct. The Seller expressly authorises and

irrevocably consents to Restylee recovering any Cancellation Penalty, and any other

amount due from the Seller under these Terms, by deducting or setting off the same from

the Seller’s next eligible payout and/or from th e balance available in the Seller’s Restylee

Wallet. Where the available payout or Wallet balance is insufficient to satisfy the

outstanding amount in full, the shortfall shall be recorded as a negative Seller balance and

shall be automatically set off and adjusted against the Seller’s future earnings before any

payout, withdrawal, or transfer is processed to the Seller.

i) Suspension of selling privileges pending payment. If a Seller has an outstanding

Cancellation Penalty or other outstanding amount, Restylee may , in its sole and absolute Restylee

discretion, temporarily suspend the Seller’s selling privileges until the outstanding amount

has been cleared in full. During any such suspension, the Seller may not publish new

Listings, edit existing Listings, schedule pickups, receive payouts, or access other sell er-

specific features. The Seller’s buying features and general access to the Platform shall

ordinarily remain available. Selling privileges shall be restored once the outstanding

amount has been cleared in full.

j) Immediate action for fraud and serious misconduct. Notwithstanding the graduated

framework set out above, Restylee reserves the right to immediately suspend, restrict, or

permanently remove any Seller involved in fraud, the sale or listing of counterfeit or

prohibited goods, repeated abuse, deliberate misu se of the Platform, or any activity that

harms or threatens the integrity of the marketplace or its Users, regardless of the number

of prior Seller -Fault Cancellations or violations, and without being required to follow the

escalation sequence in sub -clause (e).

k) Waiver or modification in exceptional circumstances. Restylee may, in its sole and

reasonable discretion, waive, reduce, defer, or modify any Cancellation Penalty or

consequence under this Clause in verified exceptional circumstances, including

documented Force Majeure Events or genuine hardship, on a case -by-case basis. Any such

waiver or modification shall apply only to the specific instance for which it is granted and

shall not constitute a waiver of Restylee’s rights in respect of any other instance.

l) Amendment of penalties and thresholds. Restylee may , in its sole and absolute discretion,

revise the penalty slabs, thresholds, escalation levels, and consequences set out in this

Clause from time to time in accordance with Clause 1(f). Any such revision shall apply

prospectively and shall be published on the Platform or otherwise notified to Sellers.

m) Relationship with other provisions. This Clause is in addition to, and does not limit, the

Seller’s obligations under Clause 13 (Seller Obligations), Restylee’s rights under Clause 25

(Suspension & Termination), and the indemnity in Clause 24 (Indemnity). The Seller Policy
